- Concentration is rising alongside growth: TB test kits made up 70.20% of FY26 revenue (up from 62.40% in FY24), government and international aid agencies contributed 84.56% of FY26 revenue, and the top 10 customers accounted for 83.26%.
- At the upper band, the issue values the Company at roughly 57x FY26 earnings (~₹9,300 crore market cap) — a premium multiple that reflects the platform's differentiation and growth, but leaves little room for error if growth or margins slow.
- Only about ₹200 crore of the ₹940 crore issue is a Fresh Issue; the remaining ~₹740 crore is an Offer for Sale, so most of the proceeds go to existing shareholders rather than funding the Company's own growth.

- Molbio Diagnostics is a point-of-care molecular diagnostics company that develops, manufactures and sells the proprietary 'Truenat' platform — comprising the Trueprep extraction device and Truelab PCR analyser — used to diagnose tuberculosis and more than 30 other infectious and non-communicable diseases in decentralised, resource-limited settings.
- The Truenat TB test is one of only two rapid molecular diagnostic tests worldwide endorsed by the WHO for initial TB diagnosis, and the only one developed by an Indian company; the platform is patented in over 100 countries and took approximately 13 years of R&D to secure ICMR certification.
- Manufacturing is carried out across five facilities — two in Goa, two in Bengaluru (including the Bigtec R&D unit), and one in Visakhapatnam operated through subsidiary Prognosys Medical Systems; in FY26 the Company sold 2,524 Truenat devices and 1.76 crore test kits.
- Promoters: Sriram Natarajan, Dr. Chandrasekhar Bhaskaran Nair, Sangeetha Sriram, Shiva Sriram, Sowmya Sriram and Exxora Trading LLP, together holding 46.65% of pre-Offer equity; the Company is led operationally by CEO Sriram Natarajan.

- Customer Concentration: The top 10 customers accounted for 83.26% of FY26 revenue from the sale of finished goods.
- Rising Borrowings: Total borrowings increased sharply to ₹412.64 crore in FY26 from ₹123.16 crore in FY25, while ROCE declined from 22.06% (FY25) to 17.55% (FY26).
- Inventory and Shelf-Life Risk: Truenat test kits have a limited shelf life of around two years, so inaccurate demand forecasting or inventory mismanagement could lead to write-offs.

Issue Objective
Net Proceeds from the Fresh Issue (₹200 crore) are proposed to be used for: (i) capital expenditure for a new R&D facility, Centre of Excellence and connected office space (~₹99.3 crore); (ii) capital expenditure for plant, machinery and equipment at the Goa and Visakhapatnam units (~₹73.5 crore); and (iii) general corporate purposes (balance amount).
