- LEAP India is India's largest on-demand supply chain asset pooling company (pallets, containers, MHE); revenue grew from ₹364.97 crore (FY24) to ₹729.53 crore (FY26), and PAT grew from ₹37.17 crore to ₹62.34 crore.
- Of the ₹2,480 crore issue, ₹2,000 crore (over 80%) is Offer for Sale — largely an exit for KKR-backed Vertical Holdings — while at the upper band the issue implies a P/E of ~112x and P/B of ~6.5x on a modest ~6.2% RoNW, a rich valuation relative to the growth and returns on offer.

- EBITDA margin eased from 56.44% (FY24) to 50.69% (FY26) even as revenue grew, and the Debt-Equity ratio rose from 0.72x to 1.01x over the same period — worth watching alongside the concentration in pallets and top suppliers.
- Category leadership and a diversifying revenue base are genuine positives, but the overwhelmingly OFS-driven structure, thin GMP (~3%), rich P/E, and softening margins/rising leverage suggest limited room for listing-day excitement and a valuation that leaves little margin of safety for long-term holders.

- The Company's total pooled asset base grew to 14.70 million units as of FY26, with pallet utilisation of 89.34%, container utilisation of 71.68% and MHE utilisation of 79.79%.
- Operations run through 29 leasehold fulfilment centres across India as of March 31, 2026, with recently established wholly-owned subsidiaries in Saudi Arabia and the UAE supporting international expansion.
- Promoters: Sunu Mathew (Chairman, Managing Director & CEO) and Vertical Holdings II Pte. Ltd. (a KKR-affiliated entity, holding ~73.78% pre-Offer); the Company is led operationally by Sunu Mathew.

RISK FACTORS
- Growth Sustainability: The business has grown rapidly in recent years, and the Company may not be able to sustain this rate of growth and profitability in the future.
- Pallet Revenue Concentration: Pallets contributed 62.17% of FY26 revenue from operations; any adverse impact on the pallet pooling business would materially affect results.
- Supplier Concentration: The top 10 suppliers and service providers contributed 63.27% of total purchases in FY26; loss of suppliers or delivery interruptions could adversely affect operations.
- Promoter Share Pledge: 19,889,503 Equity Shares (4.83% of pre-Offer capital) held by Promoter Sunu Mathew and Promoter Group entity Matyas Possessiones were pledged in relation to non-convertible debentures; invocation of the pledge could dilute their shareholding.
- Raw Material Price Volatility: The Company is exposed to volatility in the supply and pricing of raw materials such as timber and plastic used to manufacture its pooling assets.

Issue Objective
Net Proceeds from the Fresh Issue (₹480 crore) are proposed to be used for: (i) repayment/prepayment of certain outstanding borrowings of the Company (₹360 crore); and (ii) general corporate purposes (balance amount, capped at 25% of Gross Proceeds). The Company will not receive any proceeds from the ₹2,000 crore Offer for Sale, which goes to the Selling Shareholders.
